California Business Compliance Calendar
For Corporations, LLCs, LPs, and LLPs doing business in California.
1. Statement of Information (SoI)
Corporations (SI-550)
- First filing: within 90 days of CA registration.
- Then: every year (annually).
- Fee: $25 + $5 disclosure fee (stock corps).
LLCs (LLC-12)
- First filing: within 90 days of CA registration.
- Then: every two years (biennial).
- Fee: $20.
LPs/LLPs: file your entity’s Statement of Information (typically biennial; due by the registration anniversary month).
File online via the Secretary of State’s bizfile Online, by mail, or in person. Keep your Agent for Service of Process current.
2. California Franchise Tax
- Minimum tax: $800 per year (most corporations, LLCs, LPs, LLPs).
- First payment timing:
- Corporations: by the 15th day of the 4th month after registering.
- LLCs: generally due upon registration; then annually.
3. Annual Taxes & Returns
- Corporations: Form 100, due the 15th day of the 4th month after fiscal year end.
- LLCs: Form 568, same timing as above for most calendar-year filers.
- LPs/LLPs: Form 565 annually.
4. Local Licenses
Most cities/counties require a Business License or Business Tax Certificate. Renew annually per local rules.
5. Other Items to Track
- Registered Agent info: update on each Statement of Information.
- DBAs/Fictitious Names: typically renew every 5 years with the county recorder.
- Employment: register with EDD; file payroll taxes quarterly if you have employees.
