These Terms of Service govern your use of AgentOnFile.com’s Registered Agent and related services in California. By accessing or using our services, you agree to be bound by these Terms.
If you do not agree to these terms of service, you may not use the Services.
We are not a law firm. We never give legal advice. Consult an attorney for legal advice.
You may cancel at any time, but no refunds are issued unless required by law.
1. Services Provided
We provide Registered Agent services for entities registered with the California Secretary of State, including document acceptance, scanning, forwarding, and optional storage. Additional services are listed on our Services page.
2. Eligibility
Our services are for business entities registered in California. You affirm you are authorized to bind the business entity when signing up.
3. Compliance
You are responsible for maintaining your company’s compliance with California law. We provide reminders and support but cannot guarantee state acceptance of filings.
4. Payment & Renewal
Service fees are billed annually and renew automatically unless cancelled. Add-on services may be billed monthly or annually as noted.
5. Switching to Our Services
To appoint us as your Registered Agent, you must update your Statement of Information with the California Secretary of State. Instructions and direct links are provided on your Welcome page after signup.
6. Ending Our Services
You may cancel at any time by appointing a new Registered Agent and filing the appropriate form with the Secretary of State. Once our resignation is filed, service will end after the statutory notice period.
7. Unauthorized Appointments
If you list us as your Registered Agent without signup or payment, we will accept documents as required by law, notify you, and charge a non-client handling fee. We may then file a resignation of agent.
8. Limitation of Liability
Our liability is limited to the amount paid for services in the year of claim. We are not responsible for indirect or consequential damages.
9. Governing Law
These Terms are governed by the laws of the State of California.
